Bitterroot Resources Ltd. C$2,400,000 Private Placement

Bitterroot Resources Ltd. (symbol BTT, TSX-V) plans to issue up to 20,000,000 units in a non-brokered private placement. The units are priced at C$0.12, consisting of one common share plus one half of a common share purchase warrant exercisable at C$0.20 for two years.

The proceeds of the private placement will be used to fund drilling and associated exploration costs at the 51%-owned LM Nickel-Copper Project in the Upper Peninsula of Michigan and for general working capital. Bitterroot’s Michigan subsidiary Trans Superior Resources, Inc. (Trans Superior) is the LM Project operator, with the remaining 49% held by Michigan-based, privately held, Below Exploration Inc.

Additionally, Trans Superior has entered into an agreement with the U.S. Department of War (DoW) whereby the DoW will provide up to US$5,223,431 in Defence Production Act (DPA) Title III funding to Trans Superior. The DoW investment will reimburse 50% of approved exploration and associated costs incurred on the LM Project. The DPA Title III funding is non-dilutive.

Subject to TSX-V approval, the securities issued pursuant to the financing will be subject to a four-month hold period under applicable securities laws.
